Exhibit D – Communication Volume Limits & Pricing Policy

This Communication Volume Limits & Pricing Policy (“Policy”) is entered into concurrently with, and as Exhibit D to, the Customer Master Terms of Service (“Terms of Service”) between Customer and Tooth Teller, LLC. Collectively, the Terms of Service, this Policy and all attachments, exhibits, and schedules thereto shall be referred to as the “Agreement”.

An average practice subscribed to Tooth Teller’s Services having approximately 2,000 patients and will send on average approximately 500 SMS segments (as defined below) and 250 emails  per month to their patients.

A “SMS segment” is a portion of a text message that are transmitted individually and then reassembled by the receiving device. A standard SMS message has a 160 character limit using GSM-7 encoding.  Exceeding this limit results in the message being split into segments, typically 153 characters each (due to the inclusion of data headers). 

The Tooth Teller Service Bundle subscription includes the following:

  • 3000 “SMS segments” per month (“Base Units: SMS segments”)
  • 5000 emails per month (“Base Units: Emails”)

  • The Base Units: SMS segments and Base Units: Emails included with the Tooth Teller Service Bundle subscription will be prorated for the initial then-current month at the time the Order is executed. For each subsequent month during the Term, the Tooth Teller Service Bundle subscription includes the Base Units: SMS segments and Base Units: Emails set forth above.  Any charges (rounded to the nearest penny) for exceeding the applicable Base Units: SMS segments and/or Base Units: Email limits in a month, including in the initial then-current month at the time the Order is executed, will be invoiced to Customer in the next billing cycle following the overage in accordance with Section 3 of the Customer Master Terms of Service.

An overage fee will be charged for excess usage as follows:

  • two tenths of 1 cent ($0.002) for each SMS segment over the Base Units: SMS segments.
  • one tenth of 1 cent ($0.001) will be charged for each email over the Base Units: Emails.

This policy is subject to change, and such changes will take effect in accordance with the Customer Terms of Service and the Order applicable to Customer’s use of the Tooth Teller Services.
